Terms of Service
These terms govern your use of Canopy SEO ("Canopy," "we," "us," "our"), a product of Studio Mesa LLC. By creating an account, accessing the service, or using any features, you agree to be bound by these terms. If you do not agree, do not use the service.
1. What Canopy does
Canopy is an AI-powered content strategy, writing, and publishing tool designed for Squarespace websites. It analyzes your site's keyword landscape using third-party SEO data, generates content strategies and article recommendations, writes blog articles using AI language models, and facilitates publishing to your Squarespace site via a Chrome browser extension.
Canopy is a tool, not a service provider. We do not guarantee any specific SEO outcomes, search engine rankings, traffic increases, or business results.
2. Your account
You need an email address and password to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@canopyseo.com if you become aware of any unauthorized use. We are not liable for any loss arising from unauthorized access to your account.
3. Subscriptions and billing
Canopy Pro costs $29 per month and includes 15 article credits. Your subscription renews automatically each month. You can cancel anytime from your account settings — your access continues through the end of your current billing period. No refunds are issued for partial months unless otherwise stated in our Refund Policy.
Article packs (10 articles for $20) are one-time purchases. Pack credits do not expire and remain in your account even if you cancel your subscription. All payments are processed through Stripe. We do not store your payment information directly. We reserve the right to change pricing with 30 days' notice. Price changes will apply at your next billing cycle after the notice period.
4. What you own
You own the articles Canopy generates for you. Once an article is generated, it is yours to use, edit, publish, or delete as you see fit. We claim no intellectual property rights over your generated content. You retain ownership of any data you provide to Canopy, including your site URL and business information. We access this data solely to provide the service.
5. What we own
Canopy's software, design, brand, algorithms, prompts, and underlying technology are the property of Studio Mesa LLC. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the service for its intended purpose. This license does not convey ownership of any part of the service.
6. AI-generated content — important disclaimers
All content generated by Canopy is produced by artificial intelligence language models. You must understand and agree to the following:
a) Content is provided as a draft. All AI-generated articles are drafts intended for your review and editing before publication. Canopy does not guarantee the accuracy, completeness, originality, or suitability of any generated content.
b) You are solely responsible for reviewing and approving all content before publishing. This includes verifying factual claims, checking for errors or omissions, ensuring appropriateness for your audience, and confirming compliance with all applicable laws and regulations.
c) AI can produce inaccurate, misleading, or fabricated information. Language models may generate content that contains factual errors, outdated information, fabricated citations or statistics, or statements that appear authoritative but are incorrect. You must independently verify any claims, data, or references before publishing.
d) Canopy does not provide professional, legal, medical, financial, or regulatory advice. If you operate in a regulated industry — including but not limited to healthcare, mental health, legal services, financial services, real estate, insurance, or any field subject to professional licensing or compliance requirements — you are solely responsible for ensuring all content meets applicable professional standards, regulatory requirements, advertising rules, and disclosure obligations. Canopy has no knowledge of industry-specific compliance requirements and makes no effort to ensure compliance.
e) Canopy assumes no liability for published content. Once you publish any content generated by Canopy, you assume full responsibility for that content, including any claims, damages, regulatory actions, or legal consequences arising from its publication.
f) No guarantee of originality. While Canopy generates new content for each request, AI models are trained on existing text and may produce content that is similar to previously published material. You are responsible for checking content for potential plagiarism or intellectual property issues before publication.
g) No guarantee of SEO results. Content generation and strategy recommendations are based on third-party keyword data and AI analysis. We do not guarantee that any content will achieve specific search engine rankings, traffic levels, or business outcomes. Search engine algorithms change frequently and are outside our control.
7. Chrome extension
The Canopy Chrome extension facilitates publishing articles to your Squarespace site. By using the extension, you authorize it to interact with your Squarespace account on your behalf. The extension requires an active Squarespace admin session to function. You are responsible for ensuring you have the right to publish content to any site you connect.
8. Acceptable use
You agree not to:
Use Canopy to generate content that is illegal, defamatory, harassing, threatening, or deliberately misleading
Generate content that infringes on the intellectual property rights of others
Attempt to reverse-engineer, decompile, or extract the source code, algorithms, or prompts underlying the service
Abuse the API, circumvent usage limits, or use automated tools to access the service beyond its intended use
Resell, sublicense, or redistribute access to Canopy or its generated content as a competing service
Use Canopy to generate bulk content for the purpose of spam, link schemes, or manipulative SEO practices
Provide false information when creating your account
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on severity.
9. Data and privacy
Your use of Canopy is also governed by our Privacy Policy. We use your site URL, business information, and keyword data to provide the service. We do not sell your personal data.
10. Third-party services
Canopy integrates with third-party services including Stripe (payments), Squarespace (publishing), and third-party SEO data providers. Your use of those services is governed by their respective terms. We are not responsible for outages, changes, or discontinuations of third-party services that affect Canopy's functionality.
11. Service availability and modifications
We aim to keep Canopy available and reliable, but we do not guarantee uninterrupted or error-free service. We may update, modify, or discontinue features at any time. If we make changes that materially reduce core functionality, we will provide reasonable notice via email or through the app.
We may perform maintenance that temporarily affects availability. We are not liable for any loss or damage resulting from service interruptions.
12. Disclaimer of warranties
The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Studio Mesa LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Without limiting the foregoing, we do not warrant that:
The service will meet your specific requirements or expectations
AI-generated content will be accurate, complete, original, or suitable for any purpose
The service will be uninterrupted, timely, secure, or error-free
Any SEO results, rankings, or traffic outcomes will be achieved
Content will comply with laws, regulations, or professional standards applicable to your industry
13. Limitation of liability
To the maximum extent permitted by law, Studio Mesa LLC, its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the service. This includes but is not limited to:
Damages arising from AI-generated content that is inaccurate, misleading, defamatory, or otherwise harmful
Loss of revenue, profits, data, business opportunities, or goodwill
Damages resulting from reliance on content generated by the service
Regulatory fines, penalties, or legal costs arising from content you publish
Damages arising from unauthorized access to your account
Damages resulting from third-party service outages or changes
Our total aggregate liability for any claims arising from or related to these terms or the service is limited to the lesser of (a) the total amount you paid to us in the 12 months preceding the claim, or (b) $500 USD.
This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
14. Indemnification
You agree to indemnify, defend, and hold harmless Studio Mesa LLC, its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Your use of the service
Content you generate, publish, or distribute using the service
Your violation of these terms
Your violation of any applicable law, regulation, or third-party rights
Any claim that content you published using Canopy caused harm to a third party
15. Termination
We may suspend or terminate your access to Canopy at any time for violation of these terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the service ceases immediately at the end of your current billing period. We may delete your account data after a reasonable retention period following termination.
16. Governing law and disputes
These terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these terms or the service shall be resolved in the state or federal courts located in Hillsborough County, Florida.
17. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18. Entire agreement
These terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Studio Mesa LLC regarding your use of Canopy.
19. Changes to these terms
We may update these terms from time to time. If we make material changes, we will notify you via email or through the app at least 14 days before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated terms. If you do not agree to the changes, you must stop using the service and cancel your subscription.
